Preamble
We, the members of this organization, in order to promote collective excellence, transparency, and shared purpose, do hereby adopt this Constitution as the supreme governing document. It shall guide all activities, protect the rights of members, and ensure the longevity of our mission.
Adopted by unanimous consent of the founding assembly.
Article I: Name & Seat
Section 1.1 – The name of the organization shall be "The Solar Energy Society of Nigeria" (hereinafter referred to as "the Society").
Section 1.2 – The registered office of the Society shall be located in Abuna, with additional chapters permitted worldwide.
Section 1.3 – The emblem and seal of the Society shall be preserved by the Secretary and used only for official matters.
Article II: Objectives
Section 2.1 – Promote education, research, and innovation across interdisciplinary fields.
Section 2.2 – Foster collaboration between academic, public, and private sectors.
Section 2.3 – Maintain ethical standards and provide a platform for professional development.
Section 2.4 – Organize conferences, publications, and outreach programs that benefit the global community.
Article III: Membership
Section 3.1 – Membership is open to any individual or institution that aligns with the Society’s objectives.
Section 3.2 –
Categories:
- Regular Member (voting rights)
- Student Member (non-voting, reduced fee)
- Honorary Fellow (by invitation, lifetime)
Section 3.3 – Termination of membership occurs by resignation, non-payment of dues, or expulsion by two‑thirds majority vote.
Article IV: Governance Structure
Section 4.1 – The Board of Directors shall consist of a President, Vice‑President, Secretary, Treasurer, and three At‑Large members.
Section 4.2 – The Board meets at least quarterly; decisions require a simple majority unless otherwise stated.
Section 4.3 – Committees (Finance, Ethics, Events) may be formed by Board resolution.
Section 4.4 – The Executive Director (appointed) manages daily operations and reports to the Board.
Article V: Elections & Terms
Section 5.1 – Elections are held annually in the fourth quarter; terms commence on January 1st.
Section 5.2 – All Regular Members in good standing may vote electronically or in person.
Section 5.3 – Term limits: maximum of two consecutive terms (each term = two years) for President and Treasurer.
Section 5.4 – Vacancies are filled by special election or Board appointment until the next cycle.
Article VI: Amendments
Section 6.1 – Proposed amendments must be submitted in writing to the Secretary at least 30 days before a General Assembly.
Section 6.2 – Adoption requires a two‑thirds vote of all Regular Members, followed by legal review.
Section 6.3 – No amendment may contradict the core objectives (Article II) without dissolving the Society.
Ratification & Effect
This Constitution supersedes any previous charters and becomes binding upon approval by the founding Board. All members and future leaders pledge to uphold these articles in spirit and practice.
